Response Scribe provides managed review response services to businesses. We generate and publish personalized review responses on your behalf across third-party review platforms, delivered through a combination of AI-assisted drafting and human review. Your use of the platform is governed by the End User License Agreement presented at login.

By registering for a Response Scribe account, you represent that you are at least 18 years of age, have authority to bind your business, and will comply with these Terms and all applicable laws. If you do not agree, do not register for an account.

Updates. We may update these Terms from time to time. We will provide at least thirty (30) days notice of material changes. Continued use of your account after the effective date of an update constitutes acceptance.

Fees are set forth in your subscription or Order Form. Invoicing occurs on the first of each month for the upcoming month's services. New locations added during the prior month are pro-rated on the same invoice. Payment is due within ten (10) days of the invoice date. Credit card payments incur a 2.3% processing fee, itemized separately. Late payments accrue interest at 1.5% per month. No refunds are issued for unused or partial months.

Cancellation. Cancellation terms are governed by your Order Form or subscription agreement. Please refer to those documents for the applicable notice period, effective date of cancellation, and any early termination fees. If you do not have a signed Order Form or subscription agreement, contact your account representative to discuss your cancellation options.

Suspension. Response Scribe may suspend your account: (a) immediately upon notice if you materially breach these Terms or the End User License Agreement and fail to cure within ten (10) days; (b) immediately if your account activity poses a risk to our platforms, infrastructure, or other users; or (c) if payment is overdue by more than ten (10) days after notice.

Billing Disputes. Response Scribe's total liability for any claim arising from your account, subscription, fees, or billing will not exceed the total fees you paid in the twelve (12) months immediately preceding the claim.

Your account information is subject to our Privacy Policy at responsescribe.com/privacy-policy, incorporated into these Terms by reference.

We may terminate your subscription immediately for breach of these Terms or upon thirty (30) days written notice for any other reason. Termination of your subscription does not affect any separate rights or obligations under the End User License Agreement, which continues to govern your access to and use of the platform.

Survival. The following sections survive termination: Section 3 (Fees and Billing, with respect to amounts owed), Section 4 (Privacy), and Section 6 (Governing Law).

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of laws provisions.

Informal Resolution. Before initiating any formal proceeding, the party seeking relief must contact the other party and attempt to resolve the dispute informally for at least thirty (30) days.

Arbitration. If informal resolution is unsuccessful, either party may elect to resolve the dispute through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in Del Mar, California, on an individual basis. Both parties waive any right to a jury trial or class action.

Court Jurisdiction. If arbitration is not elected, disputes will be resolved exclusively in the state and federal courts of San Diego County, California, and you consent to personal jurisdiction in such courts.

Statute of Limitations. Any claim must be filed within one (1) year of when it arose or it will be forever barred.

Legal Entity. Response Scribe is a trade name and registered DBA of Shout About Us, Inc., a Delaware corporation, 1110 Camino Del Mar, Suite E1, Del Mar, California 92014.

Entire Agreement. These Terms and the Response Scribe Privacy Policy constitute the entire agreement regarding your account, subscription, and billing relationship with Response Scribe. Your use of the platform is separately governed by the End User License Agreement.

Severability. If any provision is found invalid, the remaining provisions remain in full force.

Waiver. Failure to enforce any provision will not constitute a waiver of the right to enforce it in the future.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.

Force Majeure. Response Scribe will not be liable for any failure or delay in performance of billing or account services caused by events beyond our reasonable control, including natural disasters, government actions, internet or telecommunications failures, or cyberattacks.

No Third-Party Beneficiaries. These Terms are for the sole benefit of you and Response Scribe and do not create any rights in any third party.

Notices. Response Scribe may provide notices by posting them on our platform, sending them to your account email address, or by other reasonable means.
